Terms & Conditions

1. Scope

These Terms and Conditions ("T&C") govern your use of the website generio.ai and the appsuite apps.generio.ai (collectively, the "Services").

The Services are available to both private individuals (consumers) and business customers. By completing registration (e.g., by clicking the checkbox labeled "I accept the terms & conditions") or by using the Services, you confirm that you have read, understood, and accepted these T&C. You warrant that you are at least 18 years old and legally competent.

2. Definitions

"GENERIO," "we," "our," or "us" refers to GenerIO GmbH, Königgrätzstr. 23, 45138 Essen, Germany.
"User," "you," or "your" refers to any natural or legal person using the Services.
"Services" refer to website, apps, and related software provided by GENERIO.
"Generated Content" refers to outputs created using the Services (e.g., 3D models).
"User Content" refers to all data you upload or submit (e.g., images, sketches).
"Free Tier" refers to the free usage plan.
"Paid Tier" refers to any paid subscription plan (e.g., basic, premium, studio, or enterprise).

3. Account & Eligibility

  • 3.1 Certain features require an account. Registration must include accurate and up-to-date information.
  • 3.2 You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. License & Intellectual Property

  • 4.1 Ownership by GENERIO: All software, models, and materials remain the property of GENERIO. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services for internal or commercial purposes.
  • 4.2 User Content & Generated Content: You retain all rights to your User Content and — under a Paid Tier — to your Generated Content.
  • 4.3 Free Tier: Under the free plan, Generated Content remains the property of GENERIO; you receive a limited license for non-commercial use.
  • 4.4 Paid Tier: Under a paid plan, you obtain full ownership of all Generated Content.
  • 4.5 License to Process: By uploading your content, you grant GENERIO a worldwide, non-exclusive, royalty-free license to store and process it solely to provide, maintain, and improve the Services (including model training). Publication or distribution of your original content only occurs with your explicit consent or if required by law.

5. Permitted & Prohibited Use

  • 5.1 Permitted: Using the Services for lawful purposes in accordance with these T&C.
  • 5.2 Prohibited: You may not:
    • Violate laws or third-party rights
    • Distribute malware
    • Circumvent technical protections or reverse-engineer
    • Resell or sublicense the Services without our written consent

6. Subscriptions, Fees & Taxes

  • 6.1 Plans & Renewal: Free and paid plans may be canceled up to one month before renewal. If not canceled, subscriptions renew automatically for the selected term.
  • 6.2 Price Changes: We will notify you of price or feature changes at least 30 days before they take effect; changes apply from the next renewal.
  • 6.3 Taxes: All fees are exclusive of VAT and other applicable taxes.
  • 6.4 Right of Withdrawal (EU consumers): Consumers have a 14-day right of withdrawal for Paid Tier subscriptions under §§ 312g, 355 BGB. To activate paid services immediately, consumers must expressly waive this right via checkbox or equivalent confirmation; fees are then non-refundable.

7. Service Levels & Support

  • 7.1 Availability: We aim for 99.5% monthly availability. Guaranteed SLAs apply only to Enterprise customers with a separate agreement.
  • 7.2 Support: Scope and response times are described on our website.

8. Changes & Updates

  • 8.1 Feature Changes: We may expand, modify, or discontinue features at any time. Services of your active Paid Tier remain available until the end of your term.
  • 8.2 T&C Changes: We will notify you of changes to these T&C at least 30 days in advance in writing (e.g., via email). Continued use after the notice period constitutes acceptance.

9. Termination & Suspension

  • 9.1 Termination by User: Paid plans may be canceled up to one month before renewal.
  • 9.2 Suspension for Breach: In case of payment default or material breaches, we may suspend your account with 14 days' notice or terminate it immediately for serious violations.
  • 9.3 Effects of Termination: License rights end; local copies of your content remain with you. We delete or transfer your data in accordance with our Privacy Policy.
  • 9.4 Termination by GENERIO Without Cause: If GENERIO terminates without cause, unused prepaid fees will be refunded pro rata.

10. Warranty & Liability

  • 10.1 Provided "As Is": Services are provided without specific warranties.
  • 10.2 Limitation of Liability: We are only liable for simple negligence in cases of breach of essential contractual duties (cardinal obligations). In other cases, our liability is limited to direct damages up to the fees paid in the previous year. In cases of intent, gross negligence, personal injury, or data protection violations, we are liable without limitation. Indirect damages (e.g., lost profits) are excluded.

11. Privacy & Cookies

  • 11.1 Privacy Policy: See our website for the full Privacy Policy.
  • 11.2 Cookies & Tracking: We use Google Analytics 4 and Microsoft Clarity only with your active consent. You may revoke consent at any time via our cookie settings or your browser.
  • 11.3 Legal Basis: Data is processed based on your consent (Art. 6(1)(a) GDPR) or for contractual performance (Art. 6(1)(b) GDPR).

12. Confidentiality

  • 12.1 Definition: Confidential information includes all non-public business or technical data.
  • 12.2 Obligation: Both parties agree to protect confidential information with due care and to use it only for contractual purposes for three years beyond contract termination.

13. Indemnification

  • You agree to indemnify GENERIO against third-party claims arising from your use or content — but only in cases of intentional or grossly negligent breaches of duty on your part.

14. Copyright Infringement & Takedown

  • 14.1 Reporting: Report suspected legal violations via email to contact@generio.ai, including all legally required information.
  • 14.2 Actions: We will remove or block infringing content and may terminate repeat offenders.

15. Governing Law & Jurisdiction

  • These T&C are governed by German law.
  • Consumers: If you live in Germany, your local court has jurisdiction over disputes.
  • Businesses: Exclusive jurisdiction is Essen, Germany.

16. Miscellaneous

  • Severability Clause: If any provision is invalid, the remainder remains unaffected.
  • Waiver: Waivers must be in writing.
  • Assignment: Your rights and obligations under these T&C may not be assigned without our written consent; GENERIO may assign them as part of a legal succession.
